The primary role of the Senior Corporate Governance Manager is to provide administrative and clerical support to the General Counsel to ensure efficient operation, to work closely with company secretaries of the Henley & Partners Group companies and to function as a point of contact for, and dealing with, due diligence/KYC requests relating to Henley & Partners Group companies.

The primary role of the Senior Corporate Governance Manager is to provide administrative and clerical support to the General Counsel to ensure efficient operation, to work closely with company secretaries of the Henley & Partners Group companies and to function as a point of contact for, and dealing with, due diligence/KYC requests relating to Henley & Partners Group companies.
Responsibilities:
- Providing statutory information to support third party (e.g. bank, law firm, service provider) due diligence, e.g. in case of bank account opening requests or engagement of third parties;
- Ensuring due diligence held on senior management is up-to-date and arrange for renewal, certification/notarization/attestation where necessary;
- Maintaining and managing accurate statutory records, including registers of shareholders, directors and company secretaries as well as authorized signatories;
- Updating and creating structure charts;
- Assisting Henley & Partners Group companies with filing of contracts, maintaining a record of and monitoring all existing agreements;
- Assisting in the preparation and maintaining of templates for board resolutions, minutes, invitations, directors’ consent and resignation letters
- Preparing Board Meeting Notices, maintaining agendas, and assisting with meeting logistics;
- Assisting in circulation and filing of corporate documents and obtaining consent/signatures and, where required, submitting to corporate registers or other third parties;
- Making submissions and filings to registers and public authorities as required;
- Assisting in any trademark-related filings and maintaining records of intellectual property registrations; Undertaking annual data checks on Henley & Partners Group companies for sign off by directors;
- Undertaking all other relevant admin support the General Counsel and contacts in Henley & Partners Group companies.
Qualifications and requirements:
- Experience working for a multi jurisdiction employer is required
- Strong administration skills Excellent interpersonal skills
- Proven computer skills, including Word and Excel.
- Proficient in database management and record-keeping
- Effective written communication skills
- Excellent accuracy, attention to detail and organizational skills which includes the ability to plan work, prioritise and juggle competing demands, the ability to identify and resolve problems in a timely manner and the ability to gather and analyse information quickly and accurately
